CounselMatch Product Specific Terms

The following terms (in addition to the underlying agreement) apply if Customer has the applicable product.

  1. Onit uses a new subprocessor, namely SurePoint Technologies, Inc.  
  2. Privacy:  The following privacy policy shall apply to CounselMatch and is available at https://predeploy.leopardsolutions.com/privacy-policy/. 
  3. CounselMatch uses AI to perform the following functions which Customer consents to such use of AI: 
  • Summary of law firms – Summaries generated using OpenAI models, with no client-specific information is sent to the model; and
  • AI Navigator – A RAG-based  (Retrieval-Augmented Generation (RAG) application hosted which leverages  product documentation as its knowledge base.
  1. Authorized Users shall not directly or indirectly: 
  • copy, modify, duplicate, download or otherwise transfer the data accessed via CounselMatch except for internal business purposes; 
  • make unreasonable computer-generated inquiries or copies of CounselMatch data or engage in systematic, excessive or wholesale copying, printing and/or downloading of CounselMatch data for the purpose of aggregating or storing the content in an archival database for later retrieval; 
  • use CounselMatch data to develop, distribute, market, sell, license or otherwise offer to any third party any product or service, including but not limited to, any attorney or legal database, job searching, or legal or business intelligence services, or materials that are similar to, and in competition with such; 
  • override or bypass any security feature, access controls or use limitation in CounselMatch or CounselMatch data; or 
  • use any software that enables any data incorporated in CounselMatch. to be collected in an automated manner through the use of bots, metaspiders, crawlers or any other automated means that interfere or attempt to interfere with the proper working of CounselMatch data or attempt to probe, scan, test the vulnerability of, or breach the security of Company’s systems, devices or networks, or interfere with the operation of CounselMatch.  
  • use, transmit, publish, broadcast or otherwise disseminate any content accessed or obtained from CounselMatch: 

(x)  in violation of any applicable law or regulation or in a manner that would cause it or Company to breach any term of its privacy policy available at https://predeploy.leopardsolutions.com/privacy-policy/; 

(y)   in a manner that will infringe the intellectual property rights of others or violate the privacy, publicity or other personal rights of others; or 

(z)  in connection with conduct that is harassing, threatening, abusive, insulting, defamatory, obscene, disparaging or discriminatory. Customer shall not use the content to engage in excessive or unwanted contact or solicitations, to spam, phish, pharm, pretext, spider, crawl, or scrape, and shall honor the Can-Spam Act, Do not Call Registry and other no contact requests.
