The following terms apply if Customer has purchased the applicable product.

Bodhala

Data Retention. For 30 days following: (a) expiration of this Agreement, or (b) termination of any Order without a renewal term, or (c) as otherwise agreed in writing by the parties pursuant to a statement of work (each an “Export Period”), Company shall provide at no charge to Customer up to two (2) hours of assistance to Customer to assist with, or perform on behalf of Customer, an export of the Customer Data in Company’s standard format. During the Export Period, the terms of the Agreement will continue to apply to each party.

Bodhala Support and Service Level Agreements:  No Support or Service Level Agreements provided pursuant to the Agreement shall be applicable to the Bodhala Services and nothing contained in an Order shall be interpreted to impose any obligation upon Company to provide to Customer any such Support, including any modification, correction or update. 

Electronic Signature (for ReadySign, ContractWorks, SecureDocs, Axdraft, and CWP)

If the Services include the Company’s hosted online electronic signature service (“Electronic Signature”) that allows Users to electronically send, sign, track, and manage documents that Users upload or transmit for signing, the following applies:   

Customer is solely responsible for (i) the content, quality, format, enforceability in any applicable jurisdictions and record retention of any documents it submits using Electronic Signature; and (ii) determining whether any document: (a) is subject to an exception from any electronic signature laws; (b) is subject to any additional laws or regulations, including any consumer protection laws, for specific types of agreements; or (c) can be legally formed by electronic signatures.   

SecureDocs

Use Limitations. Customer acknowledges that the Services are not meant as a backup solution, replacement for a file server, or to store non-business documents such as systems software or large media files. Customer is responsible for maintaining backup copies of Customer Data. The Company reserves the right to place reasonable storage or bandwidth limits on your account or the Services .

Data Retrieval: Prior to the termination date, Customer should create a room archive (bulk download) of the Customer Data. 

ContractWorks and ContractWorks Premium

Use Limitations. Customer acknowledges that the Services are not meant as a backup solution, replacement for a file server, or to store non-business documents such as systems software or large media files. Customer is responsible for maintaining backup copies of Customer Data. The Company reserves the right to place reasonable storage or bandwidth limits on your account or the Services.

Data Retrieval: Prior to the termination date, Customer should create a room archive (bulk download) of the content.

OnitX Apptitude

Company reserves the right to review and reject Customer configuration(s) that have an adverse impact on the Onit platform. This may include disabling functionality and/or the Services; and Company reserves the right to throttle or limit the Services to the extent there is a security issue (such as a Customer employee has compromised log on credentials), or harmful content or viruses are introduced by Customer into the production environment.

Customer may not use OnitX Apptitude to build a competing product offered by the Company, such as CLM, ELM, etc.

Onit and OnitX

The Services are subject to the following: (a) maximum attachment file size is 100 MB for each individual attachment; (b) maximum rows that can be downloaded to Excel from a dashboard is 80,000; (c) 1 TB of Customer Data is included for all production, dev and test environments. Any usage above this amount will be charged at $600 per month per additional TB.

SimpleLegal

The Services are subject to the data storage limits specified in each particular Order (or if no limits are specified in the Order, then 1 TB of data is included for all production, development and test environments). Any usage above this amount will be charged at $600 per month per additional TB.

Artificial Intelligence & GenAI

ReviewAI:  

Any additional or bespoke review, checklists creation, AI configuration, training or optimization beyond what is available out of the box or outlined in the particular Order is out of scope. 

ReviewAI Output. Customer acknowledges and agrees that when using the Services, Customer will be exposed to text, information and clauses available within the Services (collectively “Output”) that have been collected from a variety of sources. Company accepts no responsibility that use of the Output by Customer will be appropriate to give effect to any intended consequence or enforceable in any context or for any purpose and Customer should obtain is own legal counsel to understand the meaning, context and legal consequences of using such Output.

ReviewAI Service Level Agreements.  No Service Level Agreements related to Availability provided pursuant to the Agreement shall be applicable to the ReviewAI Services or integration with Microsoft Word (Add-Ins) under the Order and nothing contained in the Order shall be interpreted to impose any obligation upon Company to provide to Customer any such service levels. 

AI Accuracy. Company makes no representations or warranties with respect to the accuracy of any results from the Services or whether the results are unique. Customer should not rely on any results without independently confirming their accuracy. Results may contain material inaccuracies even if they appear accurate because of their level of detail or specificity. The Services and any results may not reflect correct, current, or complete information.

Onit InvoiceAI:

  1. Training Onit InvoiceAI:  Customer hereby grants, or will procure the right to grant, Company a non-exclusive, irrevocable, perpetual, royalty free license to use the InvoiceAI Customer Data, for the purposes of providing and improving InvoiceAI Services.
  2. Additionally, Company (or its Subcontractors) may collect and use InvoiceAI Customer Data and Usage Data to develop new features, improve existing features, and train Company’s artificial intelligence algorithms (“Training Data”).  Customer agrees that Company will have a perpetual right to use and incorporate into its products any Training Data that Customer or an authorized user provides to Company concerning the subscription use, without any obligation of compensation. In addition, Company retains all Intellectual Property Rights in and to its software, including the current version, any updates, the documentation, Training Data, and any derivative works of any of the foregoing

Third Party Bill Review Services.  Any third-party bill review services will be quoted separately, and be agreed to pursuant to a separate Statement of Work.

GenerativeAI (including Chat):  

Acceptable Use

Customer is encouraged to use GenerativeAI for legitimate and internal business purposes. Acceptable use of the GenerativeAI includes, but is not limited to, asking questions about contract terms, negotiating agreements, seeking clarifications, requesting a translation from a foreign language, and rewriting content.

Limitations

Users should not: use GenerativeAI for excessive messaging that goes beyond reasonable contract-related chat; use GenerativeAI for spamming; engage in illegal activities; or use the Services in any way that negatively impacts the performance of the Service for other users.

Monitoring and Enforcement

Company reserves the right to monitor the use of the GenerativeAI to ensure compliance with these terms. Should a User’s activity be deemed excessive or outside the scope of acceptable use, Company may, at its discretion, take actions that include, but are not limited to, temporarily restricting access to the GenerativeAI, or implementing additional charges for usage beyond the standard limits.

Fair Use Limits

The Services include a predetermined number of Chat messages (i.e. questions entered into the chat box) per billing period, which is designed to accommodate normal, contract-related use. Based on our experience, on average, Users submit 25 Chats per contract.  If a Customer’s activity exceeds this limit, the Company may consider this overuse and may charge additional fees.

Overuse

In the event of overuse, Company will notify Customer and provide options to either reduce usage to comply with the fair use limits or discuss the possibility of upgrading the Customer’s service plan to include a higher limit of Chat messages, which may be subject to increased pricing.
